1. GENERAL INFORMATION. The voxpop.tv contest ("Contest") is sponsored by VoxPop Network Corporation, a Delaware corporation with offices at Pier 9, Suite 116, San Francisco, California 94111 ("Sponsor"). Regardless of whether the Contest page appears on Sponsor's Website or is embedded in Sponsor's partner's website, Sponsor shall be deemed to be the sponsor of this Contest.

This Contest is based upon the most popular opinions of all the persons who enter and participate in this Contest. Entrant's participation is based upon successful completion of the survey and the online registration form at www.voxpop.tv ("Sponsor's Website") at http://www.voxpop.tv/play/xrta1490000 ("Contest URL"). Winners will be selected based upon the highest number of points accumulated, which points are awarded for votes that are the same as the popular vote. Please consult the "How to Play" tab for specific details on how points are awarded for this Contest. The prize for which an entrant is eligible, if any, depends on the Contest in which the entrant has participated. The prizes for this Contest are listed on the "Prizes" tab. Odds of winning depend on the number of entries received in the Contest. The Contest is open only to legal residents of the United States who are at least 18 years of age at the time of entry. Void where prohibited by law.

2. TIMING. The Contest's beginning and ending dates and times ("Start Date") ("End Date"), respectively, are posted simultaneously with these Official Rules on the Calendar tab. All entries must be received no later than the End Date to be considered for the Contest prizes. Entries received prior to the Start Date or after the End Date will be disqualified.

3. ELIGIBILITY. Entrant's participation in the Contest constitutes full and unconditional acceptance of and agreement to abide by these Official Rules, including all eligibility requirements, and the decisions of Sponsor, which are final and binding in all respects. Employees, officers and directors of Sponsor, and its subsidiaries and affiliates, as well as the immediate family (defined as parents, spouse, children, siblings and grandparents) and household members of each such employee, officer and director are not eligible to enter. Sponsor reserves the right to verify eligibility of any entrant. All online entrants must have a valid email address at or before the time of entering a Contest. In the event of a dispute regarding the identity of the person submitting an entry, entries will be declared made by the authorized account holder of the email address submitted at the time of entry. "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet Service and/or Access Provider, online service provider, or other organization responsible for assigning email addresses for the domain name associated with the submitted email address. Sponsor may require proof, which will be determined solely by Sponsor, of entrant's registered email or subscriber status. Automated entries including, but not limited to, entries made using any script, macro, bot, or sweepstakes service are strictly prohibited, and all such entries will be discarded and declared void. Participation in this Contest does not guarantee or register entrant in any of Sponsor's other contests, and vice versa. Entrant may participate in as many of Sponsor's contests as entrant so desires, however, entrant may not be eligible to win more than three prizes whose value each exceeds $15.00 in a thirty day period.

4. HOW TO VOTE AND BE ENTERED IN THE CONTEST: Entrants may enter this Contest by accessing Sponsor's Website and clicking on the appropriate contest of entrant's choosing. To enter, entrants must complete the online survey as prompted and enter all online registration information requested of entrant to become eligible to enter the Contest. All survey votes and/or information must be completed in full. Entrant will then become eligible to win the associated prize(s) subject to verification. Entrant is only allowed to enter the Contest once. Limit one entry per person, household, and/or email address. Multiple participants are not permitted to share the same email address. Entrant agrees that entrant's participation in the Contest and survey votes cast will be in compliance with these Official Rules and Sponsor's Website's Terms of Use (www.voxpop.tv/terms.php). Should Sponsor discover an entrant has provided false information or engaged in fraudulent voting, including, but not limited to, the use of one email address by multiple participants, entrant may be disqualified and may be banned from participating in that and other subsequent contests, which may be decided by Sponsor at its sole discretion. Sponsor will also disqualify any entry from individuals who do not meet the eligibility requirements, and Sponsor will also delete any entry received from persons under the age of 13 in compliance with the Children's Online Privacy Protection Act. Sponsor is not responsible for incorrect, inaccurate or incomplete entry of information or for votes which are lost, late, delayed, misdirected, electronically corrupted, garbled, damaged, incompletely received, otherwise defective or lost due to any reason, all of which will be discarded and declared void. Proof of sending will not be deemed to be proof of receipt by Sponsor. Entrants are not entitled to any compensation or any cash prize in exchange for voting.

5. WINNER SELECTION AND NOTIFICATION. If entrant is the potential winner of a Contest prize, entrant will receive a notification message at the email address entrant used to register. Winners will be selected based upon the highest number of points accumulated by the entrant during the Contest. The person who has the highest number of points will win the Contest. In the event more than one person has the highest number of points, Sponsor will conduct a drawing at the close of the Contest and the winning entrant will be randomly chosen by a computer program from the pool of entrants who tied with the highest points. If the entrant randomly selected is not eligible, the Sponsor may decide in its sole discretion to randomly select another entrant using the same process until an eligible entrant is found. Entrants selected must comply with all terms and conditions of these Official Rules and Sponsor's Website's Terms of Use (www.voxpop.tv/terms.php) and winning is contingent upon fulfilling all requirements. Potential winners will be notified by email within ten (10) days of the drawing. Except where prohibited, a potential winner of the Contest must sign and return to Sponsor, within ten (10) days of being notified, verification of his/her person by providing Sponsor with additional personal information and/or completing an affidavit of eligibility, liability/publicity release and W-9 as directed by Sponsor in order to claim his/her prize.

6. ALL POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISION IS FINAL. AN ENTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF THE CONTEST SHOULD SO INDICATE, UNLESS AND UNTIL ENTRANT'S ELIGIBILITY AND THE POTENTIAL WINNING ENTRY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.

7. PRIZES. The Contest prizes will be announced simultaneously with the Start Date of the Contest on Sponsor's Website. The approximate retail value of each prize will be posted on Sponsor's Website. In the event the prize is the subject of a popularity vote in the Contest, Sponsor will only be able to identify the prize and its approximate retail value on the End Date of the Contest. Odds of winning a Contest prize depend on the number of entries received per Contest. Winning entrants are solely responsible for all federal, state, and local taxes and fees associated with prize receipt and use. Sponsor will report taxes as required by law. No substitution or consolation prizes permitted, except by Sponsor, who reserves the right to substitute a prize with another prize of comparable value. Prizes may not be transferred or assigned except in Sponsor's sole discretion. In the event a prize is mailed to the winner, it will be with the prior written consent of the winner and, therefore, winner assumes the risk of loss. Sponsor is not responsible for the safe arrival of a prize. Sponsor may decide in its sole discretion what will be done with any unclaimed prizes.

8. PUBLICITY. Except where prohibited, participation in the Contest constitutes winning entrant's written consent to Sponsor's use of entrant's name, likeness, voice, opinions, hometown and state for promotional purposes in any media (now known or hereafter devised), worldwide, in perpetuity, without further payment, notice or consideration.

9. GENERAL CONDITIONS. Sponsor reserves the right to cancel or modify the Contest at any time or for any reason, as determined by Sponsor in its sole discretion. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules and/or Sponsor's Website's Terms of Use (www.voxpop.tv/terms.php) or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately damage Sponsor's Website or undermine the legitimate operation of any of the Contest may be a violation of criminal and civil laws and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of this provision.

10. RELEASE. By receipt of any winning prize, each winning entrant agrees to release and hold harmless Sponsor, its officers, directors, employees, agents and Partner (when applicable) from and against any claim or cause of action arising out of participation in the Contest or receipt or use of any prize.

11. LIMITATIONS OF LIABILITY. Sponsor is not responsible for: (1) incorrect or inaccurate transcription of information in a entrant's survey votes or registration form, as well as any information or documentation that is late, lost, stolen, illegible, incomplete, misdirected, has postage due, or has been received by Sponsor through impermissible or illegitimate channels, all of which will be disqualified; (2) technical failures of any kind, including but not limited to the malfunctioning of any computer, network, hardware or software; (3) the unavailability or inaccessibility of any service; (4) unauthorized human intervention in any part of the entry process of the Contest; (5) electronic or human error which may occur in the administration of the Contest or the processing of entries; or (6) any injury or damage to persons or property, including, but not limited to, an entrant's computer, which may be caused, directly or indirectly, in whole or in part, from participation in any of the Contest or from downloading or receiving electronic transmission of any material from Sponsor or its Website, regardless of whether the material was prepared by Sponsor or a third party, and regardless of whether the material is connected to Sponsor's Website by a hypertext link.

12. DISPUTES. Entrant agrees that: (1) any and all disputes, claims, and causes of action arising out of or connected with the Contest or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the District of California or the appropriate California State Court; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event shall this provision limit a recovery of attorneys' fees; and (3) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased, except in those jurisdictions where a waiver of such claims is not permitted. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant or Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California. All federal, state and local laws and regulations apply.

14. WINNER'S LIST/OFFICIAL RULES. For the name, city and state of the Contest winners and/or a set of Official Rules, please send a self addressed, stamped envelope to VoxPop Network Corporation, ATTN: Operations Department, Pier 9, Suite 116, San Francisco, California 94111. Residents of Washington and Vermont may omit return postage.
