2. Entry Period: "The 2008 MTV Movie Awards Prediction Game" (the "Contest") commences at 12:00:01 PM (ET) on May 16, 2008 and ends at 7:59:59 PM (ET) on June 1, 2008 (the "Contest Period"). All entries must be received by 7:55:59 PM (ET) on June 1, 2008.

3. Contest Overview: Entrant's participation is based upon successful completion of a game (the "Game") and the online registration form at movieawards.mtv.com (the "Website"). Winners will be selected based upon the highest number of points accumulated, which are awarded for correctly picking the winners in nine (9) categories in the 2008 MTV Movie Awards, currently scheduled for June 1, 2008. The nine (9) categories in the 2008 MTV Movie Awards are:

(a) Best Comedic Performance
(b) Best Female Performance
(c) Best Fight
(d) Best Kiss
(e) Best Male Performance
(f) Best Movie
(g) Best Summer Movie So Far
(h) Best Villain
(i) Breakthrough Performance

Please consult the "How to Play" tab of the Game on the Website for specific details on how points are awarded for this Contest. The prizes for this Contest are listed below as well as on the "Prizes" tab on the Website. Odds of winning depend on the number of entries received in the Contest.

4. Sponsor: This Sweepstakes is sponsored by MTV Networks, a division of Viacom International Inc., 1515 Broadway, New York, NY 10036 (the "MTVN"). Administrator: VoxPop Network Corporation, Pier 9, Suite 116, San Francisco, CA 94111 (the "Administrator").

5. Eligibility: The Contest is open to legal residents of the 50 United States and District of Columbia who are thirteen (13) years of age or older at the time of entry. Entrants who have not yet reached the age of majority in the jurisdiction in which they reside will need to obtain permission from their parent/legal guardian in order to enter Contest. All online entrants must have a valid email address at or before the time of entering Contest. Employees and their immediate families (i.e., parents, spouse, children, siblings, grandparents, step parents, step children and step siblings) of MTVN, Administrator and each of their respective subsidiaries and other affiliated companies, sponsors, subsidiaries, advertising agencies, third party fulfillment agencies are not eligible. By participating in this Contest, entrants agree: (a) to be bound by these Official Rules and by the interpretations of these Official Rules by MTVN, and by the decisions of MTVN, which are final in all matters relating to the Contest; (b) to release and hold harmless MTVN, Administrator and each of their respective subsidiaries and other affiliated companies, sponsors, subsidiaries, advertising agencies, third party fulfillment agencies and their respective agents, employees, officers, directors, successors and assigns (collectively, the "Released Parties"), against any and all claims, injury or damage arising out of or relating to participation in this Contest and/or use or misuse or redemption of a prize; and (c) to acknowledge compliance with these Official Rules. MTVN reserves the right to verify eligibility of any entrant. In the event of a dispute regarding the identity of the person submitting an entry, entries will be declared made by the authorized account holder of the email address submitted at the time of entry. "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet Service and/or Access Provider, online service provider, or other organization responsible for assigning email addresses for the domain name associated with the submitted email address. MTVN may require proof, which will be determined solely by MTVN, of entrant's registered email or subscriber status. Automated entries including, but not limited to, entries made using any script, macro, bot, or sweepstakes service are strictly prohibited, and all such entries will be discarded and declared void. Participation in this Contest does not guarantee or register entrant in any of MTVN's other contests, and vice versa. Only entries submitted to the Contest are eligible for prizes - entries submitted to pools are not eligible.

6. To Enter: Visit the Website, complete the Game as prompted and enter all online registration information as instructed in order to enter the Contest. All Game selections and/or information must be completed in full. Entrant is only allowed to enter the Contest once. Limit one (1) entry per person. Multiple participants are not permitted to share the same email address. Entrant agrees that entrant's participation in the Contest and Game selections cast will be in compliance with these Official Rules, the Website's Terms of Use (www.mtv.com/sitewide/mtvinfo/terms.jhtml), and Administrator's Terms of Use (www.voxpop.tv/terms.php).

Entrant's personal information will not be shared with non-MTVN related third party entities for direct marketing or promotional purposes. However, MTVN may use and share entrant's personal information within the MTVN family for other marketing or promotional purposes and entrant may opt-out of that use by contacting MTVN at privacy-admin@mtv.com. MTVN may also combine this Contest entry with other offline or online information about entrant. By submitting to this Contest, entrant hereby consents to the use of entrant's personal information as specified herein and in MTVN's Privacy Policy (www.mtv.com/sitewide/mtvinfo/privacy.jhtml).

All entries submitted in accordance with these Official Rules shall be hereinafter referred to as "Eligible Entries". All entries become the property of MTVN and will not be acknowledged or returned.

7. Winner Selection/Notification: There will be one (1) grand prize winner (the "Grand Prize Winner"), one (1) second place winner (the "Second Place Winner"), and ten (10) third place winners (the "Third Place Winners", and together with the Grand Prize Winners and the Second Place Winners, the "Winner" or "Winners"). MTVN will determine the Winners from the Eligible Entries who have the highest game scores on or around June 8, 2008. If entrant is the potential winner of a Contest prize, entrant will receive a notification message at the email address entrant used to register. MTVN will make up to two (2) attempts over the 48 hour period following Winners selection to contact the potential Winners. If the potential Winners cannot be reached during the 24 hour period in which he/she is emailed the potential Winners will be disqualified and an alternate Winner will be selected from among the remaining Eligible Entries received. Potential winners will be notified by email within two (2) days of the drawing. Winners will be selected based upon the highest number of points accumulated by the entrant during the Contest. The person who has the highest number of points among the Eligible Entries will be declared the Grand Prize Winner and win the Contest. The person with the second highest number of points among the Eligible Entries will be declared the Second Place Winner. The people who have the third through twelfth highest number of points among the Eligible Entries will be declared the Third Place Winners. In the event more than one person has the highest number of points, MTVN will conduct a drawing at the close of the Contest and the winning entrant will be randomly chosen by a computer program from the pool of entrants who tied with the highest points. If the entrant randomly selected is not eligible, MTVN may decide in its sole discretion to randomly select another entrant using the same process until an eligible entrant is found. Entrants selected must comply with all terms and conditions of these Official Rules, MTVN's Terms of Use (www.mtv.com/sitewide/mtvinfo/terms.jhtml), and Administrator's Terms of Use (www.voxpop.tv/terms.php) and winning is contingent upon fulfilling all requirements.

8. Winner Verification: The potential Winners must prove eligibility, including, without limitation, proof of age and residence within three (3) days of being notified as a potential Winner. In the event of non-compliance by a potential Winner, such potential Winner shall be disqualified and all privileges otherwise due as a Winner shall be terminated and an alternative potential Winner may be chosen from among all of the remaining applicable Eligible Entries received in MTVN's sole discretion. The Winners must sign (if Winner has not reached not the age of majority in the jurisdiction in which potential Winner resides, his/her parent/legal guardian must sign) within three (3) days of receipt of such documents from MTVN: (a) an affidavit of eligibility and release of MTVN and its respective officers, directors, employees, agents, members, affiliated companies and subsidiaries, from any and all liability, loss, claims, demands, and causes of action for personal injury and/or damage, theft, loss, or any other harm suffered in connection with this Contest or the use/misuse or acceptance of the Prize (as hereinafter defined) or any portion thereof to be eligible for the Prize; and (b) except where prohibited by law, a promotional release granting MTVN the right to use their name and likeness for advertising and publicity purposes without additional compensation. Entry into this Contest constitutes agreement to sign such releases. Winners (his/her parent/legal guardian must sign if 18 is not the age of majority in the jurisdiction in which Winner resides) also must acknowledge that MTVN has not and will not obtain or provide insurance of any kind relating to the Prize and that Winner will be responsible for obtaining and paying for any life, travel, accident, property or other form of insurance relating to the Prize. Winners (or, if a minor, his/her parent or legal guardian) must also complete any additional legal documents provided by MTVN (or third party on its behalf, if applicable) with respect to the Prize and return them as instructed within the timeframe specified by MTVN or Winner may forfeit Prize at MTVN's sole discretion. All decisions of MTVN relating to the Contest are final. MTVN expressly reserves the right to delay the announcement of the Winners for creative or technical reasons or for any other reason MTVN deems necessary. 9. Prizes:

Grand Prize: The one (1) Grand Prize Winner will receive: (a) one (1) iPod Touch 32 GB and (b) one (1) $100 iTunes Gift Card (the "Grand Prize").

Second Place Prize: The one (1) Second Place Prize Winner will receive one (1) DVD of each of the winning movies in the nine (9) categories from the 2008 MTV Movie Awards (the "Second Place Prize"). Only one (1) DVD per movie winning in multiple categories will be awarded.

Third Place Prize: The ten (10) Third Place Prize Winners will each receive: one (1) DVD of the "Best Movie" category winner from the 2008 MTV Movie Awards (the "Third Place Prize" and, collectively with the Grand Prize and the Second Place Prize, the "Prize" or "Prizes").

The approximate retail value ("ARV") of the Grand Prize is $599.99.

The ARV of the Second Place Prize is $180.00.

The ARV of each of the Third Place Prizes is $20.

The total ARV of all of the Prizes is $979.99.

The ARVs are subject to change based on current market conditions at time of Prize fulfillment. Any difference between the ARV and the actual value, if any, will not be rewarded. The dates for fulfillment of the Prizes will be on or around June 30, 2008 subject to programming requirements and such dates are subject to change in MTVN's sole discretion.

10. General Prize Terms: Arrangements for fulfillment of the Prizes will be made by MTVN. All costs and expenses not specifically listed above, including, without limitation, any equipment to be used in connection with the Prize are solely Prize Winner's responsibility. The value of the Prize may be taxable to Winner as income. Winner must supply MTVN with his/her social security number for tax purposes. An IRS Form 1099 will be issued in the name of Winner or, if a minor, in the name of his/her parent or legal guardian, for the actual value of the Prize received. Upon entry into the Contest, Winners (as well as all other entrants) are required to comply with any and all applicable federal, state, and local laws, rules, and regulations. All federal, state and local taxes, and any other costs not specifically provided for in these Official Rules are solely the Winners' responsibility. MTVN shall have no responsibility or obligation to a Winner or potential Winner who is unable or unavailable to accept or utilize Prize as described herein. Odds of winning a Contest prize depend on the number of entries received per Contest. In the event a prize is mailed to the winner, it will be with the prior written consent of the winner and, therefore, winner assumes the risk of loss. MTVN is not responsible for the safe arrival of a prize. MTVN may decide in its sole discretion what will be done with any unclaimed prizes. Allow six to eight weeks for delivery. No substitution, transfer or cash equivalent of the Prize or any portion thereof permitted, except by MTVN, in which case a prize of equal or greater value may be awarded.

11. General Terms: Noncompliance with any of these Official Rules may result in disqualification. ANY VIOLATION OF THESE OFFICIAL RULES BY A WINNER OR ANY BEHAVIOR BY A WINNER THAT WILL BRING SUCH WINNER OR MTVN INTO DISREPUTE (IN MTVN'S SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS A WINNER OF THE 2008 MTV MOVIE AWARDS POOL AND ALL PRIVILEGES AS A WINNER WILL BE IMMEDIATELY TERMINATED.

MTVN is not responsible for incorrect, inaccurate or incomplete entry of information or for selections which are lost, late, delayed, misdirected, electronically corrupted, garbled, damaged, incompletely received, otherwise defective or lost due to any reason, whether caused by any of the equipment or programming associated with or utilized in this Contest or by any human error which may occur in the processing of the entries in this Contest, all of which will be discarded and declared void. Proof of sending will not be deemed to be proof of receipt by MTVN. MTVN is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or players on account of technical problems or traffic congestion on the Internet or at any web site, or any combination thereof, including, without limitation, any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Contest. MTVN is not responsible for any typographical or other error in the printing of the offer, administration of the Contest, or in the announcement of the Prizes and Winners. If, for any reason, the Contest is not capable of running as planned, including, without limitation, changes in MTVN's on-air programming, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of MTVN which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, MTVN reserves the right in its sole discretion to cancel, terminate, modify or suspend the Contest. Should the Contest be terminated prior to the stated expiration date, notice will be posted on movieawards.mtv.com and the Prizes may be awarded to winners to be selected from among all Eligible Entries received up until and or after (if applicable) the time of modification, cancellation or termination or in a manner that is fair and equitable as determined by MTVN. All interpretations of these Official Rules and decisions by MTVN are final. MTVN reserves the right in their sole discretion to disqualify any individual they find to have tampered with the entry process or the operation of this Contest; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person or to have provided inaccurate information on any legal documents submitted in connection with this Contest.
